sole actor doctrine
The principle that the knowledge of a corporate officer or agent is imputed to the corporation notwithstanding it has reference to a transaction in which the officer or agent is acting fraudulently or adversely to the corporation, where it appears that the officer or agent is the sole representative of the corporation in the transaction in question. 19 Am J2d Corp § 1267.
